Standard Terms and Conditions for the HELP A HERO CAMPAIGN operated by Travelstart Online Travel Operations (Pty) Ltd on behalf of the Travelstart Group of Companies*
All services rendered by or on behalf of Travelstart Online Travel Operations (Pty) Ltd (‘Travelstart’) to the Client/s are subject to the terms and conditions (‘the Conditions’) set out below.
Travelstart, located at Longkloof Studios, Block B, Darters Roads, Gardens, Cape Town, 8001, South Africa, is part of the Travellab Group, located at Sebbarp Kvarnhem, 24033, Löberöd, Sweden.
The following terms and conditions should be read and understood prior proceeding to participate in the campaign.
Length of the Campaign
The campaign will run for the period 20 May 2020 to 20 July 2020. Travelstart shall have the sole right to elect to extend the period, should travel bans continue to be in place beyond this period.
The Pledgees that have been selected are highly esteemed and well-known charity organizations, which have a national footprint, allowing the pledged vouchers to have a much wider reach and impact across a much larger group of individuals.
These will be subject to our standard terms and conditions.
Selection of Pledge Tier
The Help a Hero campaign allows any pledging Company to select a pledge tier that suits their own corporate social investment requirements. Once a tier has been selected, Travelstart undertakes to fulfil all included marketing requirements within the campaign period, in accordance with timing that will be agreed upon with the Company. Travelstart shall have the right to adjust this timing, at its own discretion, on notice to the Company, should this be required for any reason whatsoever.
Payment of Pledge
Once a tier has been confirmed, the payment for your selected pledge tier will be required to be paid within 7 days of receipt of an invoice from Travelstart. The full amount will be payable upfront in order to proceed with the campaign.
Commencement of Marketing Activities from Travelstart
Upon receipt of payment, Travelstart will undertake to action all marketing and promotional activities as is stipulated in the selected pledge tier. Such marketing activities will be concluded throughout the duration of the campaign and timing may be staggered at the discretion of Travelstart in agreement with the Company. The Company shall have the right to request timings of certain aspects of the tier campaigns to suit their own needs if required.
Distribution of Pledge Vouchers
Upon the closure of the campaign, Travelstart will, within 7 working days, distribute the vouchers to the respective charities in equal share. A closing statement of the voucher distribution and confirmation thereof will be provided to the Company.
Whilst we encourage those pledgee Companies to run fair processes, we are not administering the process, nor are we checking on it beyond facilitating the use of the vouchers.
The participation in this campaign is made on the EXPRESS CONDITION that Travelstart, its employees and agents, shall not be responsible for, and shall be exempt from, all liability in respect of loss, damage (including loss of profits or consequential or special damages), accident, injury, illness, harm, trauma, death, delay or inconvenience (collectively, ‘Losses’) to any Company (which shall be deemed to include the heirs, executors, administrators or assigns of the Company)
The COMPANY INDEMNIFIES AND HOLDS HARMLESS Travelstart or any person acting for or controlled by Travelstart accordingly.
Opportunity to Nominate a Pledgee
The Company shall, at the discretion of Travelstart, and upon reasonable justification, be entitled to nominate a charity of their choice, bearing in mind that the selected beneficiary should still encapsulate the tonality and message of the campaign to the effect that the campaign aims to promote the ‘heroes’ of the lockdown period and reward them with the opportunity to reconnect with family and friends through travel.
Travelstart shall have the right to vet the charity selected and verify the legitimacy of some before accepting it to be a pledgee into the programme. Travelstart has the right to request documentation before agreeing to accept it into the programme. This will protect both parties in the event of unscrupulous acts.
The campaign does not have a minimum pledge threshold in order to proceed and once a pledge has been made there shall be no option to withdraw from the campaign. The minimum pledge contributions by any Company is R15,000.
Travelstart endeavours to maintain a high standard of brand awareness in the promotion of any campaign and will at all times adhere to strict guidelines in this regard. Should any Company have any requirements, these should be discussed prior to the publication of any marketing material by Travelstart, failing which our standard industry guidelines will be applied.
These fees cover a portion of the costs incurred by Travelstart in putting together this campaign We also reserve the right to charge an additional service fee for any additional services rendered.
Provision for Tax Certificates
This is a marketing partnership. No donations tax deduction/s will be possible as Travelstart will not be able to issue section 18A certificates. We are not a registered public beneficiary organisation.
Law and Jurisdiction
These conditions shall be governed by the law of South Africa and the jurisdiction of South African courts will govern the relationship between the Company and Travelstart.
Amendments of these Conditions
No amendment, cancellation or waiver of any term or right referred to herein shall be valid or binding unless reduced to writing and signed by both the Company and a duly authorized representative of Travelstart.
Subject to statutory constraints or compliance with an order of the court, Travelstart undertakes to deal with all Company information on a strictly confidential basis.
All the terms and conditions constitute the entire terms of the relationship between the parties. There exist no other terms, conditions, warranties, representations, guarantees, promises, undertaking or inducements of any nature whatsoever (whether verbal, written or electronic) regulating the relationship and the COMPANY ACKNOWLEDGES that it has not relied on any matter or thing stated on behalf of Travelstart or otherwise that is not included herein.
